The Stichting Converium Securities Compensation Foundation ("Foundation") is a Dutch legal entity. The purpose of the Foundation is to represent the interests of shareholders who purchased Converium Holding AG ("Converium") common stock on the SWX Swiss Exchange or any other stock exchange located outside the United States of America during the period between 7 January 2002 and 2 September 2004, inclusive and who were not residents of or domiciled in the U.S. at the time of purchase (the "Non-U.S. Exchange Purchasers") and various shareholder interest groups. Agreements between (1) the Foundation and Vereniging VEB NCVB ("VEB") and SCOR Holding (Switzerland) AG ("SCOR") (formerly "Converium") and (2) between the Foundation and VEB and Zurich Financial Services Ltd. ("ZFS") to compensate eligible Non-U.S. Exchange Purchasers have been agreed to. The Foundation, with SCOR, ZFS and VEB, jointly requested the Amsterdam Court of Appeal to declare the Settlements binding. The Amsterdam Court of Appeal declared the Settlements binding. The Foundation will distribute financial compensation to Non-U.S. Exchange Purchasers who qualify under the terms of the Settlement Agreements.

The Converium Securities Compensation Foundation is governed by an independent Board. The members are:

Attorney at law, Geneva, Switzerland, LL.M. Columbia University. Partner with a law firm in Geneva, focusing in corporate and contractual matters.

  • Mr Bart Groen –secretary/treasurer

Former partner of a large law firm, former member of the Dutch ministerial committee on the Fundamental review of the Dutch law of civil procedure, honorary professor at Maastricht University, deputy judge at the Hague Court of Appeal and an arbitrator with the Netherlands Arbitration Institute.

  • Mr. Philip van Hilten

Strategic partner and counsel of the law firm AKD, owner and family governance counsel of No More Worries, former partner and managing partner of Loyens & Loeff, honorary chairman of the tax committee of the International Bar Association, former member of the Council of the International Bar Association and holder of various memberships of board of companies and foundations.
